Liquidation Services in Germany

Standard Liquidation Services of a dormant Company (only as a package)

  • Provision of the registered address during liquidation process
  • Provision of corporate secretarial services necessary to keep the Company in good standing, including preparation of the shareholder resolution to dissolve the Company, recall of the management and appointment of a liquidator
  • Preparation of the day-to-day bookkeeping
  • Provision of a liquidator (TMF employee). Condition: no ongoing business activity, no open liabilities.
  • Supporting the tax advisor with the preparation of the financial statements, liquidation balances and tax returns
  • Organisation, coordination and communication with a German notary in relation to registration of the dissolution, recall of the management, appointment of the liquidator and finally the deletion  from the local trade register
  • Mandatory publications with the Federal Gazette
  • Retention of the business records for the legally required minimum period of ten years
